By accessing the Services provided by CA Solutions LLC, the Client agrees to be bound unconditionally by these Terms of Service (the "Terms"). If the Client does not agree to these Terms, they must immediately cease use of the Services.
2.1. Company Intellectual Property: CA Solutions LLC retains all exclusive rights, title, and interest in its proprietary software, underlying code architecture, prompt engineering methodologies, and workflow automations (the "Company IP").
2.2. Client Intellectual Property: The Client retains comprehensive ownership of all Input Data provided to the Company.
2.3. Output Ownership: Upon the settlement of all outstanding invoices, the Client shall be granted ownership of the direct outputs generated by their custom AI solutions, subject to the licensing constraints of the underlying foundational AI models utilized.
The Client agrees to indemnify, defend, and hold harmless CA Solutions LLC from and against any and all claims, damages, obligations, losses, liabilities, costs, or debts arising from: (i) the Client's use of and access to the Services; (ii) a violation of any term of these Terms; or (iii) a violation of any third-party right, including copyright, property, or privacy rights via the Client's Input Data.
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Wyoming.
